How it works

Purchase price = (lookback ? min(start, end) : end) · (1 − discount) · Return = (market − purchase) ÷ purchase

An ESPP lets you buy company stock at a discount, and a lookback provision applies that discount to the lower of the price at the start of the offering and the price on the purchase date. Because your money is only tied up for the offering period, even a plain 15% discount produces a very high annualized return. The annualized figure assumes you sell each period and repeat, which is the classic "sell immediately" ESPP strategy.

Worked example

With a 15% discount, a lookback, a $40 start price and a $50 purchase-date price, you buy at min(40,50) × 0.85 = $34. Against the $50 market price that is a $16 gain, a 47% return in six months — over 100% annualized.

Frequently asked questions

What is a lookback?

A provision that applies the discount to the lower of the price at the beginning and end of the offering period. It is very valuable in a rising market: if the stock climbed, you still buy based on the cheaper starting price.

Why is the annualized return so high?

Because the discount is earned over just a few months, not a year. Compounding a 47% six-month return twice gives over 100%. The catch is contribution limits (often $25,000 of stock value a year) that cap how much you can put through the plan.

Should I sell ESPP shares right away?

Selling immediately locks in the discount as a near-guaranteed return and avoids single-stock risk, but the gain is taxed as ordinary income (a disqualifying disposition). Holding longer can qualify for better tax treatment at the cost of price risk — a trade-off, not a rule.
