How it works

Preferred = capital × pref% × years · Remaining = total profit − preferred · LP split = remaining × LP% · Sponsor promote = remaining × (1 − LP%) · LP total = preferred paid + LP split

In a real estate syndication, limited partners (LPs) put up the capital and the sponsor runs the deal. LPs are paid a "preferred return" — a target annual return, often 6–9% — before the sponsor earns any share of the profit. Once the preferred is satisfied, remaining profit is split, commonly 70/30 in the LPs’ favor, and the sponsor’s slice above their invested share is the "promote" that rewards performance. This waterfall structure lines up incentives: the sponsor only earns the promote after investors receive their priority return.

Worked example

An LP invests $100,000 in a deal with an 8% preferred return over a 5-year hold, and $90,000 of total profit is distributed. The preferred is 100,000 × 8% × 5 = $40,000. The remaining $50,000 is split 70/30, giving the LP $35,000 and the sponsor $15,000. The LP’s total profit is $75,000 — a 1.75× equity multiple on capital and roughly 15% a year.

Frequently asked questions

What is a preferred return?

It is a return that limited partners receive before the sponsor shares in profits — a priority, not a guarantee. If the deal underperforms, the pref may not be fully paid; many deals let unpaid preferred accrue and compound until cash is available.

What is the sponsor’s "promote"?

The promote (or carried interest) is the sponsor’s share of profits above the preferred return, earned disproportionately to their own cash investment. A 70/30 split above an 8% pref means that once LPs get their 8%, the sponsor keeps 30% of the rest as a reward for finding and running the deal.

Is the preferred return compounded or simple?

Both structures exist. This calculator uses a simple (non-compounding) preferred for clarity; many real deals compound the pref annually and use tiered waterfalls with multiple hurdles, so always read the specific operating agreement.
